The Manatee County Port Authority may take action on any matter during this meeting, including those items set forth within this agenda. The chairperson, at the option of the chairperson, may take business out of order if the chairperson determines that such a change in the agenda’s schedule will expedite the business of the Port Authority.
According to Section 286.0105, Florida Statutes, any person desiring to appeal any decision made by the Port Authority with respect to any matter considered at this meeting will need a record of the proceedings, and for such purpose may need to ensure that a verbatim record of the proceedings is made, which includes the testimony and evidence upon which the appeal is to be based.

Chairman Bellamy called the meeting to order at 9:04 a.m.
Carlos Buqueras, Executive Director, stated a public comment was received in the absence of a citizen, questioning the value and benefit of Port Manatee lobbyist services in Washington, D.C. Also questioned was lobbying services for the County.
Chairman Bellamy stated the lobbying services for the County would be addressed during the County Commission meeting.
Dave Sanford, Deputy Executive Director, addressed the benefits to the Port in having lobbyist representation in Washington, D.C. The Port has realized continued success in working with Jocelyn Hong as lobbyist. Ms. Hong has secured $10 million of direct benefit to the Port and has rallied the delegation such that Washington, D.C., recognizes Port Manatee. The return on investment is exceptional, and staff does not recommend any change in this relationship.
By telephone, Glen Gibellina thanked Mr. Sanford for the explanation and requested further clarification as to the amount of the contract with Ms. Hong.
Denise Stufflebeam, Port Finance Director, stated Ms. Hong’s contract is for
$60,000/year, at $5,000/month.

Chairman Bellamy presented the following talking points on Port-related activities:
Del Monte Fresh Produce welcomed their new, fully containerized vessel, the Del Monte Harvester, at Port Manatee on November 21.
The container yard expansion is progressing at a steady pace and is expected to be completed by mid-June 2021.
As the Port continues to grow, there are many tenants and business partners looking to fill positions. A list of the tenants can be found on the Port website at www.portmanatee.com.
The Port continues to follow all protocols established by the U.S. Coast Guard, U.S. Customs and Border Protection, and the U.S. Centers for Disease Control and Prevention, and has taken extra safety measures to protect employees and business partners. PA20201215DOC003

Mr. Buqueras requested approval and authorization for the Chairman to execute the Contract and First Amendment between the Manatee County Port Authority and the lowest, responsive bidder, R.W. Summers Railroad Contractor, Inc., in the amount of $1,098,909, for the railroad rehabilitation project, Phases I and II, pending receipt of all bond documents.
The Contract allows for the rehabilitation of the Port’s seven miles of railroad track, encompassing a complete rebuilt of the tracks. The contract amount will be funded by both the U.S. Department of Transportation (DOT; 65 percent), and Florida DOT (24 percent) grant proceeds, with the balance funded by Port Cash (11 percent). The parties also desired to amend the contract to clarify that the bidder must comply with specific, Federal requirements, because the project is funded in part by a U.S. DOT Grant.
In response to question, Mr. Buqueras spoke about the Port’s two, new engines, one of which was purchased with a Federal grant. The Port has been using both engines on a daily basis.
A motion was made by Member Whitmore and seconded by Member Servia, to approve and authorize the Chairman to execute the Contract and First Amendment between the Manatee County Port Authority and R.W. Summers Railroad Contractor, Inc., in the amount of
$1,098,909, for the railroad rehabilitation project pending receipt of all bond documents. The motion carried 7-0. PA20201215DOC010
Mr. Buqueras requested approval of Port Manatee Tariff Number 3 Additions, Changes and/or Increases, effective January 1, 2021. The Port Tariff has increased by four percent per year since 2012, but is being decreased to two and one-half percent, given recent economic conditions attributed to the COVID-19 pandemic.
Discussion ensued that there have been no objections to the nominal tariff increases, which can be discounted based on volume incentives, Port Manatee rates are slightly higher than other ports, because Port Manatee gives exceptional individualized service, and each contract is negotiable.
A motion was made by Member Whitmore, seconded by Member Servia, and carried 7-0, to approve the recommended motion to approve Port Manatee Tariff Number 3 Additions, Changes and/or Increases, effective January 1, 2021. PA20201215DOC011
Mr. Buqueras stated Port Manatee continues to work actively, net revenues and earnings continue to grow, and companies at the Port are looking for stevedores. Port Manatee anticipates supersizing in the future to handle the need for increased cargo generated by new, anticipated residents. Port companies have not had layoffs and workers are needed.
He reviewed the requirements to become a stevedore, salaries vary by the company, entry level would be part-time to determine dedication with the ability to transition to full time and higher pay to operate Port equipment, a career can be made at the Port, there are Union and non-Union stevedores, range of salaries, companies are having a hard time sourcing labor in warehouses, working vessels and equipment operators, Port attempts to notice jobs, a new position has been created to recruit labor, and the Port is working with - Chairman Bellamy on getting transit ridership to the Port for workers.

There was discussion regarding public transportation to the Port needs to be examined in greater detail, other counties have an Uber transportation arrangement, a Federal grant ($1.4 million) to the County for a transit bus route to Lakewood Ranch failed due to lack of ridership, Lobbyist Jocelyn Hong may be instrumental in pursuing grant funds for public transportation to the Port, look at our region as a whole, home ownership in the black community needs to be examined at a deeper level, citizens do not have the necessary education to get higher-paying jobs, Port Authority should consider setting up educational programs to train citizens in achieving better jobs, idea of holding a Port Manatee job fair in the Lincoln Park and Palmetto High school community, Port companies could distribute handouts to interested people, jobs are available at the Port, and how to identify Port Manatee to not be misinterpreted as the Port Manatee Jail.

Dear Authority Members:
Greenberg Traurig, P.A. (the “Firm”) has been serving as bond counsel to the Manatee County Port Authority (the “Authority”) since 1994. I have been the principal attorney responsible for the bond counsel services provided by the Firm since that time. The Firm also serves as bond counsel to Manatee County. In the past, the fees we have charged the Authority for bond counsel services were based on the fee schedule we have with Manatee County. After discussions with both the County Attorney and Jennifer Cowan, it was determined a better practice would be to have a separate engagement with the Authority for each bond issue.
With respect to the above-referenced 2021 Bonds, we propose a fee of $1.25 per thousand plus $10,000 because these 2021 Bonds are refunding bonds. This fee proposal is the same that we would charge Manatee County for the same type issue.
As bond counsel, we would draft the necessary resolutions, escrow deposit agreement and review and comment on the preliminary and final official statements prepared by disclosure counsel. We would also deliver our final approving opinion as to the validity of the 2021 Bonds. The only expenses we would charge the Authority would be for any overnight delivery service we would use and that charge would be at actual cost. After the 2021 Bonds are issued, we would prepare a final bond transcript in the form of a CD. Again, we would bill the Authority the actual cost of the CDs. Total out of pocket expenses should not exceed $1,000.00.
If for any reason the Authority shall abandon issuing the 2021 Bonds, our proposed bond counsel fee would not exceed $30,000 for the work already performed. On the other hand, if the Authority is unable to issue the 2021 Bonds for any legal reason, we would not bill the Authority except for any out of pocket expenses we may have incurred.

Public Records
The Firm agrees to comply with the Florida Public Records Act, as applicable, including, but not limited to, Section 119.0701 of the Florida Statutes. The Firm agrees, to the extent required by law, to:
Keep and maintain public records that ordinarily and necessarily would be required by the public agency in performing the services of the Agreement;
Provide the public with access to the public records under the same terms and conditions that the Authority would provide the records and at a cost that does not exceed the cost provided for by law;
Ensure that the public records that are exempt or confidential, and exempt from public record disclosure requirements, are not disclosed, except as authorized by law; and
Meet all requirements where retained public records and transfer, at no cost, to the Authority, all public records in possession of the Firm, upon termination or completion of this engagement and destroy any duplicate public records that are exempt or confidential, or exempt from public record disclosure requirements.
Furthermore, the Firm agrees that all records stored electronically shall be provided to the Authority in a format that is compatible with the information technology systems of the Authority. The Firm shall promptly provide the Authority with a copy of any request to inspect or copy public records that the Firm receives and a copy of the Firm’s response to each request. The Firm understands and agrees that failure to provide access to the public records shall be a material breach of this engagement and grounds for termination.

Port Manatee has partnered with U.S. Customs and Border Protection’s (CBP) Reimbursable Services Program (RSP) to accommodate requests from Port customers in need of vessel clearance outside of CBP’s regular hours. These requests are made to the Port as an authorized CBP-serviced facility. Port personnel electronically facilitate requests and provide other administrative duties which are required to finalize the service. As such, Tariff Item 417 is added to Port Manatee Tariff No. 3 assessing a 10% fee of the RSP charge for Port services.

During design, the encasement was not considered justified due to the possibility of excavation. The current design calls for backfill with onsite material which has been determined to be unsuitable. As a follow up to our discussion regarding the additional concrete encasement for buried conduit , we are pleased to
offer the following for your considerat ion :
Please note that, we are only providing a proposal for encasing conduits in concrete that were originally shown to be soil encased as shown on drawing E-502, Detail 2.
This detail indicates that the conduit shall be backfilled with structural fill to 98% of the modified proctor density.
Currently, there appears to be a question where and when concrete should be used for encasement and also if in certain areas that we should still be using soil or concrete.
As, I understa pd it cu rrently, we will defi1,1itely be using concrete enc sement around conduits th t will be in the travel way subject to traffic and any areas that are not subject to traffic loading now or maybe in a non traffic area such as a curbed reefer island in the future that this would not require concrete encasement.
It is important to note that even if the area does not require concrete encasement it still will be ineffective to use the in-situ material for use as a backfill and still maintain reasonable conduit la yout/spacing. While, the in-situ material still meets structural backfill criteria as it is acceptable to build the pavement on top of, it does not have a gradation or characteristics that lends itself to backfilling around small diameter PVC conduits with 2" spacing and a typical duct bank orientat ion .
An alternative to using concrete for encasement in areas that will not be subject to traffic loading but we still have the concern with proper placement and compaction would be to use flowable fill.
It is important to note that both the flowable fill and concrete encasement both reduce the compactive effort required to place soil, this labor savings is offset by the concrete or flowable fill material costs as well as the labor and material costs to properly anchor the conduit to avoid flotation and/or displacement during the pouring of concrete or flowable fill.
Fin ally, the concrete encasement provides a permanent measure of protection for the power conduits from future excavation due to excavation regardless of the configuration and location in or out of a traffic area.
