BACKGROUND:

George B. (Bo) Hamrick, Jr. is a native Floridian and 26- year resident of the Cape Haze Peninsula in Southwest Florida. He is a non-graduate member of the U.S. Naval Academy Class of ’79 and 1981 graduate of the University of Central Florida with B.A. in History.


His varied career has included experience in personal & corporate trust administration, commercial & residential construction management and fundraising for both young and established charities.


In addition, he has extensive private equity experience in capital formation work for late-stage start-up businesses involving intellectual property including patents and patents pending for emerging technologies. In those endeavors he has served as Chief Operating Officer and investor relations manager.


Civic interests and involvements have included service in the Civil Air Patrol (U.S. Air Force Auxiliary) as a rated Mission Observer and Squadron Public Affairs Officer. In that capacity Mr. Hamrick worked with the Florida Army National Guard. While commanding the C.A.P. Squadron based at the Punta Gorda, Florida Airport for several weeks in the aftermath of Category 5 Hurricane Charlie. Other recent interests and activities have included support for the major Bahamian relief effort after Hurricane Dorian in 2019 with Agape Flights of Venice, Florida. Coordinating Amateur Radio Emergency Services teams deployed to the islands in that charity’s aircraft. Following the total loss of communications & other critical infrastructure in the northern Bahama Islands.


Mr. Hamrick is the Southwest Florida Regional Director for the Naval War College Foundation. Other board service includes the Sarasota-Manatee & Sun Coast Councils, Navy League of the United States; Naval Academy Alumni Association Sun Coast Chapter; and the Boca Grande Historical Society. He is a member and supporter of the Military Heritage Museum of Punta Gorda, Florida.

Stephen Kelly has recently been promoted to President of Sales & Business Development for The Carver Companies. The Carver Companies own and operates the Port of Coeymans and now operates in MA, SC and FL. For the last

10 years Stephen has been Vice President of Sales & Business Development for the Port of Coeymans and The Carver Companies. Prior to joining The Carver Companies, Stephen owned an equipment company. This experience and contact have been a significant tool in taking The Carver Companies from a site contractor to a world class operator of ports.


During Stephen’s tenure he has been instrumental in the logistical planning of serval large bridge projects including the 45th Avenue, Willis Avenue, and most recently the Tappan Zee replacement. Stephen’s experience has helped modularize power plant projects as well. Starting with building several air-cooled condensers weighing 350 tons at Coeymans port later barged to Astoria NY. This led to two 4000 ton PSEG-owned heat recovery steam generators also being assembled at Coeymans port and later barged to Sewaren, NJ and Bridgeport CT.


Stephen continues to look for the next port operations opportunity and is optimistic how his sites will help build offshore wind.

WHEREAS, Florida Statutes 129.06, authorizes the Manatee County Port Authority to amend its budget for the current fiscal year as follows:


  1. Appropriations for expenditures in any fund may be decreased and other appropriations in the same fund correspondingly increased, provided the total appropriations of the fund are not changed.


  2. Appropriations from reserves may be made to increase the appropriation for any particular expense in the same fund, or to create an appropriation in the fund for any lawful purpose.


  3. Unanticipated revenues, including increased receipts for enterprise or propriety funds, may be appropriated for their intended purpose, and may be transferred between funds to properly account for the unanticipated revenue.

    In December 2013, the Port Authority approved a lease for office space to Alpico International (Alpico), which was extended through December 31, 2021, through various amendments. Alpico desires to extend its lease for one-year effective January 1, 2022 – December 31, 2022, which includes a 4% increase in the lease rate.

    PORT MANATEE LEASE AMENDMENT #8


    The terms and conditions of this Port Manatee Lease Amendment #8 (hereinafter, “Amendment #8”), made and entered into by and between the MANATEE COUNTY PORT AUTHORITY, a political entity of the State of Florida, with its principal place of business located at Port Manatee, 300 Tampa Bay Way, Palmetto, Florida 34221, hereinafter referred to as the “Authority”, and ALPICO INTERNATIONAL, an entity duly organized to do business in the State of Florida, with a principal place of business located at 13230 Eastern Avenue, Palmetto, Florida 34221, hereinafter referred to as the “Lessee” (collectively, the “Parties”), for and in consideration of the mutual covenants contained in Amendment #8 and other good and valuable consideration, amend the Port Manatee Lease entered into by the parties hereto dated December 19, 2013 (hereinafter “Lease”), the Port Manatee Lease Amendment #1 dated April 17, 2014

    (“Amendment #1”), the Port Manatee Lease Amendment #2 dated January 21, 2016 (“Amendment


    #2”) the Port Manatee Lease Amendment #3 dated February 23, 2016 (“Amendment #3”), the Port


    Manatee Lease Amendment #4 dated January 19, 2017 (“Amendment #4”), the Port Manatee


    Lease Amendment #5 dated February 15, 2018 (“Amendment #5”), the Port Manatee Lease


    Amendment #6 dated December 20, 2018 (“Amendment #6”), and the Port Manatee Lease


    Amendment #7 dated December 20, 2020 (“Amendment #7”) and state as follows:


    1. SCOPE. This Amendment #8 is being entered into for the purpose of amending paragraph 2 of the Lease extending the term for a one-year period until December 31, 2022, and amending, modifying and superseding paragraph 3 (Rent) of the Lease. Except to the extent herein amended, all other provisions set forth in Amendment #7, Amendment #6, Amendment #5, Amendment #4, Amendment #3, Amendment #2, Amendment #1, and the Lease shall remain in full force and effect and binding upon the Authority and the Lessee.

      In entering into Amendment #8, the parties acknowledge that in no way has the Authority waived any of its rights or claims it may have against the Lessee.

    2. MODIFICATION. The Parties agree to amend the Lease to extend the term for one year such that the term of the Lease shall now terminate on December 31, 2022.

    3. RENT. The Lessee shall pay to the Authority throughout the duration or term of this lease rent for the demised premises for each and every month of the term of this lease a sum in the amount of $1.64 per square foot, per month, payable in advance or $1,970.85. The Lessee shall also pay any applicable Florida sales taxes on said rent, payable at the same time rental payments are made.

  1. CONFLICT. In the event of a conflict regarding the provisions set forth in paragraph 2 of Amendment #8 and the Lease, Amendment #1, Amendment #2, Amendment #3, Amendment #4, Amendment #5, Amendment #6, or Amendment #7, the provisions set forth in Amendment #8 shall prevail. In the event of a conflict between any other paragraphs within Amendment #8 and the Lease, Amendment #1, Amendment #2, Amendment #3, Amendment #4, Amendment #5, Amendment #6, and Amendment #7, then the Lease, Amendment #1, Amendment #2, Amendment #3, Amendment #4, Amendment #5, Amendment #6, and Amendment #7 shall prevail.

  2. MUTUAL REPRESENTATIONS. Each of the Parties represents unto the other party that Amendment #8 shall govern the Parties’ responsibilities regarding the term.

  3. EFFECTIVE DATE. The effective date of Amendment #8 is January 1, 2022.

BACKGROUND:


Port Manatee owns two Gottwald cranes and has an opportunity to purchase from Port tenant Federal Marine Terminals, Inc (FMT) two crane spreaders which were purchased new one year ago. Due to a change in FMT’s business model, the spreaders are not practical for FMT operations. With the large increase in container volumes, these assets will benefit crane operations and provide cost savings in delivery charges and a discount for FMT’s rarely used spreaders. The cost for each spreader is $165,000 for a total of $330,000.
