WHEREAS, Sections 129.06 and 180.016, Florida Statutes, authorizes the Manatee County Port Authority to amend its budget for the current fiscal year as follows:


  1. Appropriations for expenditures in any fund may be decreased and other appropriations in the same fund correspondingly increased, provided the total appropriations of the fund are not changed.


  2. Appropriations from reserves may be made to increase the appropriation for any particular expense in the same fund, or to create an appropriation in the fund for any lawful purpose.


  3. Unanticipated revenues, including increased receipts for enterprise or propriety funds, may be appropriated for their intended purpose, and may be transferred between funds to properly account for the unanticipated revenue.

G. Performance Sureties


Each stevedore, terminal operating company or other business which is required by the Port Authority to have a license to operate shall furnish as a minimum, or as deemed by the Executive Director, a bond for the proper performance of his duties as Stevedore in the penal sum of Ten Thousand Dollars ($10,000.00) prior to issuance and/or reissuance of licenses. Those stevedores who intend to perform stevedoring functions at Port Manatee must furnish Stevedore’s Legal Liability coverage with limits as set by the Executive Director.


H. Minimum Short Tons

A minimum of fifty-thousand (50,000) short tons consisting of 2,000 pounds per ton of waterborne generated cargo must be worked by the permit holder each year. Failure to meet the minimum tonnage requirement will be a major factor in the consideration of any renewal of an application. The company actually performing the work will be the only company credited with tonnage as required for renewal.

Access Way Obstruction Permit

No roadway, highway, railway or other public access leading to or from or within the Port shall be blocked, severed or otherwise rendered impassible or obstructed by any Port tenant or other user of Port facilities without a written permit by the Executive Director. An application for such a permit must be made to the Executive Director no less than 72 hours prior to any aforementioned obstruction and shall include a complete explanation of what work is to be done, where it will occur and what impact it will have upon Port traffic, tenants and users of Port facilities. The application shall contain a statement that the applicant will be responsible for returning the access way to a condition as good as or better than prior to the obstruction thereof and an indemnification of the Port Authority holding the Port Authority harmless from any and all claims, damages or losses which might be incurred or sustained as a result of the access way obstruction, unless the Port Authority or employees were negligent. Security Fees

Security fees are assessed to recover the costs incurred by security assessments, security plans, equipment purchases, installation and maintenance, access control and staffing required to implement the provisions of the Port’s Facility Security Plan as mandated under the provisions of the Maritime Transportation Security Act of 2002 and U.S. Coast Guard regulations in 33 CFR 105.

Security fees will be assessed as appropriate to the specific operation and the parties to which the services are being provided. Collection of these fees will be assessed as follows:


All Port licensees and permit holders will be assessed a 5% surcharge on their annual licensing/permitting fees to assist in the recovery of security costs. See tariff item 465.


A daily security fee will be assessed to the vessel owner or agent to cover the costs associated with establishing and maintaining the vessel security interface as outlined in the Maritime Transportation Security Act and the provisions of the Port’s U. S. Coast Guard approved Facility Security Plan. The fee rates due under this tariff are as follows:

  • A daily rate of $1.041.09 per linear foot for vessels with a port stay of two days or less.

  • A daily rate of $.70.74 per linear foot for vessels with a port stay of three to seven days.

  • A daily rate of $.42.44 per linear foot for vessels with a port stay of over seven days.


When required in the Port’s U. S. Coast Guard approved Facility Security Plan personnel will be assigned to monitor the security of each vessel/facility interface. The vessel’s owner or agent will be assessed a fee to recover the costs of the guard services commencing from the time the security area is established until the security operation stands down, which is dependent upon the type of vessel and cargo operation. Security service charges will be assessed at the rate of $37.3739.24/ hour per guard.


No outside security services will be authorized on the port without the advanced approval of the Port’s Director of

Seaport Security.

Limits of Liability and/or Responsibility for Damage

When operators are furnished by the Port Authority with equipment rental to others, the operators shall be under the sole supervision of the party renting the equipment. Acceptance of the operator by the renter denotes agreement on the part of the user that the operator is fully qualified. The Port Authority assumes no liability for personal injury or property damage except as caused by its own negligence.

The Port Authority does not warrant the mechanical condition of equipment furnished hereunder and its sole liability shall be to furnish competent mechanics to make such repairs as are brought to its attention. Users of all freight handling equipment, by receiving possession thereof, agrees that upon termination of the period of use, it will be delivered

BACKGROUND:


On February 27, 2024, the Authority approved a Cargo Pad Lease between the Manatee County Port Authority and Logistec Gulf Coast LLC (“LGC”) for the storage of scrap steel on the pad. Amendment One reduces the wharfage rate for scrap steel as published in the current Port Manatee Tariff No. 3 from $3.71 to $3.21, with maximum 4% annual general rate increases. LGC has a minimum annual guarantee of 120,000 short tons of scrap steel and is making improvements to the cargo pad area.

PORT MANATEE AND LOGISTEC GULF COAST LLC CARGO PAD LEASE AMENDMENT ONE


The terms and conditions of this PORT MANATEE AND LOGISTEC GULF COAST LLC CARGO PAD LEASE AMENDMENT ONE, hereinafter ("Amendment One") made and entered into by and between the MANATEE COUNTY PORT AUTHORITY, a political entity of the State of Florida, with its principal place of business located at Port Manatee, 300 Tampa Bay Way, Palmetto, Florida 34221, hereinafter referred to as the "Authority", and LOGISTEC GULF COAST LLC, a limited liability company duly authorized to transact business in the State of Florida, with a principal place of business located at 6011 Diana Toledo Almeida Road, Gibsonton, FL 33534, hereinafter referred to as the "Lessee" or "LGC", for and in consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is acknowledged, amend the PORT MANATEE AND LOGISTEC GULF COAST LLC CARGO PAD LEASE entered into by the parties hereto dated February 26, 2024 (hereinafter, "Lease"), and state as follows:

  1. SCOPE. This Amendment One is being entered into for the purpose of amending, modifying and superseding paragraphs 14 and 15 of the Lease. Except to the extent amended herein, all other provisions set forth in the Lease shall remain in full force and effect and binding upon the Authority and Lessee. In entering into Amendment One, the parties acknowledge that in no way has the Authority waived any of its rights or claims it may have against Lessee.

  2. AMENDMENT. The parties hereby agree to amend, modify, and supersede paragraphs 14 and 15 of the Lease as follows:

    1. GUARANTEED WHARFAGE. Regardless of the amount of commodities or other products subject to wharfage, and in order to maintain its exclusive rights to the Cargo Pad hereunder, the Lessee guarantees that the amount of said wharfage to be paid by the Lessee to the Authority shall be based upon at least the following:


      Year I: 120,000 short tons placed upon the Cargo Pad Year 2: 130,000 short tons placed upon the Cargo Pad Year 3: 135,000 short tons placed upon the Cargo Pad Year 4: 140,000 short tons placed upon the Cargo Pad Year 5: 150,000 short tons placed upon the Cargo Pad

      Year 6 through 11: 150,000 short tons placed upon the Cargo Pad


      In the event that there is a disruption in the scrap metal business, Lessee, with Authority approval, may utilize the cargo pad for other commodities and such commodities short tons on the cargo pad will count toward Lessee's guaranteed wharfage. Upon the expiration of each of the Port's fiscal years throughout the duration or term of this Lease, an accounting shall be made as to the actual amount ofwharfage charged by the Authority and paid by the Lessee for commodities for each particular year, and the Lessee shall pay the rate Lessee is paying for the commodity placed upon the Cargo Pad for that particular year in accordance with the Section entitled "Wharfage Rates" within thirty (30) days thereafter any difference remaining due between the amount of said commodity wharfage actually paid and the amount of the guaranteed commodity wharfage for that particular year.

      Lessee's failure to meet the minimum guaranteed wharfage for any fiscal year will not be considered a breach of this Lease by Lessee but will permit the Authority to permanently terminate Lessee's exclusive rights to the cargo pad. Lessee shall have the option to pay the entire shortfall to the Authority within thirty (30) days after the fiscal year ends and thereby avert such permanent termination of its exclusivity rights.


    2. WHARFAGE RATES. The Lessee shall pay the Authority the wharfage rate of

      $3.21 per short ton for scrap metal through December 31, 2025. For the remainder of the Lease, including any renewals, regardless of annual general rate tariff increases, any total increase to the prior year's per short ton scrap metal amount will not exceed 4% per year. For any other commodity the Lessee shall pay the Authority the wharfage rate as published in the then current Port Manatee Tariff No. 3.


      The Authority may request to audit Lessee's books and records and Lessee shall make its books and records available to the Authority with reasonable accommodations for examination and audit of extractions from such books and records during daytime business hours at Lessee's office.

  3. CONFLICT. In the event of a conflict of the Lease and the provisions set forth in paragraph 2 of this Amendment One, the provisions set forth in this Amendment One shall prevail. In the event of a conflict between any other paragraphs within Amendment One and the Lease, then the Lease shall prevail.


  4. AUTHORITY TO EXECUTE. Each of the parties hereto covenants to the other party that has a lawful authority to enter into this Amendment One that the governing or managing body of each of the parties has approved this Amendment One and that the governing or managing body of each of the parties has authorized the execution of Amendment One in the manner hereinafter set forth.


  5. EFFECTIVE DATE. The effective date of Amendment One is December 1, 2024.

On April 23, 2024, the Authority approved the contract with BDI Marine Contractors, LLC for Berth 6 Concrete Repair in the amount of $2,075,000.00. Change Orders No. 1 through 4 were previously approved for a net increase of $48,369 which included a decrease for direct material purchase allowing for sales tax savings. Change Order No. 4 requests under deck work which was discovered during the upper deck repairs; hatch repair due to damages incurred during Hurricane Milton; and curb repair of the northwestern section not included in the initial scope. The change order also includes an additional 46 days for substantial completion. The amount of Change Order No. 4 is $450,900 bringing BDI’s contract total to $2,574,269.

BACKGROUND:


On October 17, 2024, the Authority approved the SeaPort Manatee Other Cranes Operating Agreement adding two used cranes to the operating agreement with Logistec USA Inc. (Logistec). Amendment One adds the two new Gottwald mobile harbor cranes recently delivered. The cranes have been inspected and certified for use.

SEAPORT MANATEE OTIIBR CRANES OPERATING AGREEMENT - AMENDMENT ONE


The terms and conditions of this SEAPORT MANATEE OTHER CRANES OPERATING AGREEMENT - AMENDMENT ONE, hereinafter ('"Amendment One") made and entered into by and between the MANATEE COUNTY PORT AUTHORITY, a political entity of the State of Florida, with its principal place of business located at Port Manatee, 300 Tampa Bay Way, Palmetto, Florida 34221, hereinafter referred to as the "Authority", and LOGISTEC USA INC., a corporation organized and existing under the laws of the State of Delaware and duly authorized to transact business in the State of Florida, whose principal address is 2001 East McComas Street, Baltimore, MD 21230 ("Logistec"), for and in consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is acknowledged, amend the SEAPORT MANATEE OTHER CRANES OPERATING AGREEMENT entered into by the

parties hereto dated October 17, 2024 (hereinafter, "Agreement"), and state as follows:


  1. SCOPE. This Amendment One is being entered into for the purpose of amending, modifying and superseding the definition of Other Cranes contained in the Agreement. Except to the extent amended herein, all other provisions set forth in the Agreement shall remain in full force and effect and binding upon the Authority and Logistec. In entering into Amendment One, the parties acknowledge that in no way has the Authority waived any of its rights or claims it may have against Agreement.


  2. AMENDMENT. The parties hereby agree to amend, modify, and supersede the definition of Other Cranes to be additional cranes, which are currently owned by or may be purchased by the Authority between January 1, 2024, and September 30, 2025 identified as 1997

  3. CONFLICT. In the event of a conflict of the Agreement and the provisions set forth in this Amendment One, the provisions set forth in this Amendment One shall prevail. In the event of a conflict between any other paragraph or term within Amendment One and the Agreement, then the Agreement shall prevail.


  4. AUTHORITY TO EXECUTE. Each of the parties hereto covenants to the other party that has a lawful authority to enter into this Amendment One that the governing or managing body of each of the parties has approved this Amendment One and that the governing or managing body of each of the parties has authorized the execution of Amendment One in the manner hereinafter set forth.


  5. EFFECTIVE DATE. The effective date of Amendment One is December 19, 2024.

AGENDA ITEM 7.: PRESENTATION – CAPTAIN MICHAEL P. KAHLE,

U.S. COAST GUARD SECTOR ST. PETERSBURG BACKGROUND:

As Sector Commander, Captain Kahle serves as Captain of the Port, Officer in Charge of Marine Inspection, Search and Rescue Mission Coordinator, Federal On-Scene Coordinator and Federal Maritime Security Coordinator while directing Coast Guard operations along the West Coast of Florida and throughout the Tampa Bay region. Sector St. Petersburg is comprised of 2,700 Active Duty, Reserve, Civilian, and Auxiliary personnel, as well as 12 multi-mission units, including five boat stations, six cutters, and an Aids to Navigation Team.

Previously, Captain Kahle served as a Secretary of Defense Executive Fellow, where he directly engaged with senior executives across leading U.S. companies to identify organizational best practices and foster collaboration between industry and the DoD/DHS.

Captain Kahle’s operational assignments include Response Department Head and Deputy Sector Commander at Sector Juneau, AK; Commanding Officer of Coast Guard Station Monterey, CA; Deployable Team Leader and Dive Officer at Maritime Safety and Security Team Boston, MA, and Communications Officer and Search and Rescue Coordinator at Sector Southeastern New England (formerly, Group Woods Hole, MA).

He also served in staff assignments as CAG Director to the Vice Commandant of the Coast Guard; Performance Analysis Division Chief for the Coast Guard’s Office of Performance Management and Assessment, and the Chief of Officer Promotions for the Personnel Service Center’s Officer Personnel Management Division.

Captain Kahle is a 2000 graduate of the United States Coast Guard Officer Candidate School in New London, CT. He also holds a Bachelor of Science in Biological Sciences from the University of California, Santa Barbara, and a Master of Arts in Public Administration from The George Washington University.

He is married to Alicia Kahle and they have three children, Madison, Ryan, and Connor.

AGENDA ITEM 8.: PRESENTATION – SIMON AMARAL, PORT

DIRECTOR, SARASOTA INTERNATIONAL AIRPORT


BACKGROUND:


Simon P. Amaral has served at the Area Port of Tampa since April of 2020 and is currently Port Director of Sarasota International Airport. Prior to serving as PD of Sarasota International Airport, Amaral served on the Anti-Terrorism Contraband Enforcement Team (ATCET).

PD CBPO Amaral began his federal career at the Port of Boston in 2002. He served as the IFI/LLI instructor from 2005. He also served on the Port of Boston Honor Guard from 2004 through 2012.

In October of 2010, Amaral transferred to Port of Providence. As a CBP Officer in Providence, Amaral served as a Deferred Officer, conducting cases which resulted in NTA’s (Notice to Appear) in court or admitted. Amaral was part of a team at Port of Providence that conducted searches at local international cargo facilities and along with team seized millions of dollars’ worth of IPR (intellectual property rights) violations. Amaral served as the Port of Providence GOV Officer, taking care of the vehicle fleet’s preventive maintenance and paperwork.

In 2017, Amaral was promoted to Supervisory Course Developer Instructor (CDI) at the Federal Law Enforcement Training Center in Glycol, Georgia where he was assigned to the Physical Techniques Branch (PTB).

Prior to joining CBP, Amaral was a rifleman and TOW Gunner with the United States Marine Corps. He has also served as a Federal Corrections Officer and a member of the Rhode Island Army National Guard.

AGENDA ITEM 9.: PRESENTATION – COL. BRANDON BOWMAN,

DISTRICT COMMANDER, U.S. ARMY CORP OF ENGINEERS


BACKGROUND:


Col. Bowman assumed responsibility as the District Commander of the Jacksonville District, U.S Army Corps of Engineers in July 2024.

Col Bowman is a native of Lancaster, Pennsylvania. He first enlisted in the United States Army Reserves in 1996 as a carpenter and masonry specialist and later transferred to the Virginia National Guard and served as an infantryman.

His previous assignments include: Operations Officer (G3), Headquarters, U.S. Army Corps of Engineers; Chief of Staff of the U.S. Army Engineer School; Commander of the 5th Engineer Battalion; Command Engineer of the 1st Capabilities Integration Group (Airborne); Facility Program Manager for the White House Military Office; Executive Officer of the 30th Engineer Battalion; Company Commander and Battalion Adjutant in the 37th Engineer Battalion (Airborne); Logistic Officer and Battle Captain for the 20th Engineer Brigade (Airborne); Platoon Leader, Training Officer, and Company Executive Officer in the 27th Engineer Battalion (Airborne).

Col. Bowman holds a Bachelor of Science in Civil Engineering from the Virginia Military Institute, a Master of Science in Civil Engineering from Missouri University of Science and Technology, Master of Arts in National Security and Strategic Studies from the Naval War College; Master of Science in National Security and Strategic Studies from the Dwight

D. Eisenhower School for National Security and Resource Strategy. He also graduated from the Engineer Officer Basic and Advanced courses, Airborne and Jumpmaster School, and the Ranger Course.

Col. Bowman’s military awards and decorations include the Bronze Star Medal (1 Oak Leaf Cluster), Defense Meritorious Service Medal, Meritorious Service Medal (4 Oak Leaf Clusters), Army Commendation Medal (1 Oak Leaf Cluster), Army Achievement Medal (1 Oak Leaf Cluster), Iraq Campaign Medal (4 Bronze Stars), Global War on Terrorism Expeditionary and Service Medals, Master Parachutist Badge, Ranger Tab, Presidential Service Badge.

He is also the recipient of the Army Engineer Association’s Bronze Order of the de Fleury Medal
